SPECIFIC DUTIES AND RESPONSILIBITIES:

2. Accountable to the Board of Directors or audit committee on all matters related to the performance of its mandate as provided in the internal audit charter.
3. Operation
4. Demonstrates appropriate leadership and have the necessary skills to fulfill his responsibilities for maintaining the unit's independence and objectivity.
5. Ensures that the internal audit function complies with sound internal auditing standards such as the IIA's ISPPIA.
6. Develops an audit plan based on robust risk assessment, including inputs from the board of directors, audit committee and senior management and ensure that such plan is comprehensive and adequately covers regulatory matters.
7. Ensures that the internal audit function has adequate human resources with sufficient qualifications and skills necessary to accomplish its mandate.
8. Reports directly to the Board of Directors thru the Board Audit Committee to render results of completed audits/reviews and provide assessment of state of controls and compliance as measured against corporate, legal, regulatory and industry standards.
9. Plans and manage the implementation of the TRB Internal Audit programs and priorities that ensures fulfillment of the organizations corporate governance objectives and in support of the role/responsibilities of the Board Audit Committee.
10. Manages the development and updating of audit programs/procedures/scope for and the performance of financial, operations, technology, credit process and legal/regulatory compliance reviews designed to assess risks and evaluate management controls over business activities and ensure substantial audit coverage particularly the high risk areas/activities.
11. Performs consulting/advisory role in the development of policies and procedures for bank products and services providing the risk management perspective and balance between controls and business financial objectives.
12. Attends Senior Management Team meetings to discuss major/critical audit issues and findings with specific or Bankwide applicability for purposes of ensuring the issues are addressed including changes or development of relevant policies and procedures where applicable.
13. Interface/coordinates with representatives of bank regulators to discuss audit issues, plans and corrective action to demonstrate and provide assurance of effectiveness of audit program in identifying and addressing control and compliance issues.
14. Establishes policies for the auditing activity and directing its technical and administrative function.
15. Conducts periodic human resource review for purposes of career planning/pathing, identifying high potential staff and their development program support, identifying and developing understudies for major/critical positions in the department.
16. Examines the effectiveness of all levels of management in their stewardship of company resources and their compliance with established policies with government laws and regulations.
17. Recommends improvement of management controls designed to safeguard company resources, promote company growth and ensure company resources and their compliance with established policies with government laws and regulations.
18. Appraises the adequacy of the action taken by operating management to correct reported deficient conditions; evaluating adequacy of corrective action; conducting follow thru reviews with appropriate management personnel on action considered inadequate until the issues are satisfactorily resolve.
19. Conducts special examinations at the instruction of the Board of Directors, the Board Audit Committee and other Board committees, or request of Senior Management

- with extensive experience as Audit Head in Financial/Banking industry

- preferably CPA
