Job Description / Summary:

The Director of Legal will oversee the day-to-day legal affairs of the company, supporting all departments of the company in all jurisdictions where the company operates, or will operate. Duties include hands-on management of legal issues as well as sourcing and management of external legal support. The successful candidate will be responsible for maintaining an effective legal, compliance and control environment within RPH.

The role reports directly to the CEO of Red Planet Hotels.

Responsibilities:

• Provide a legal function for Red Planet Hotels. which supports the overall business strategy. This includes providing in-house assistance and links to external legal support as required.

• Provide and assist in all activities relating to:

a. Corporate Secretarial duties including preparation of resolutions, updating of corporate documents and registration of statutory documents for Red Planet Hotels and its subsidiaries;

b. Legal research relating to establishment of legal entities and acquisition of land in various jurisdictions;

c. Establishment of subsidiary companies;

d. Real estate acquisition and registration;

e. Preparation of legal agreements including but not limited to lease agreements, retail lease agreements and inter-company loan agreements;

f. Liaising with the company’s Franchisees, in regard to compliance with existing Franchise and Service Agreements and preparation and negotiation of any new agreements;

g. Review of credit agreements issued by financial institutions;

h. Issuing Non-Disclosure Agreements;

i. Reviewing press releases to ensure compliance;

j. Providing advice and assistance with regard to any legal disputes involving Red Planet Hotels  or a subsidiary;

k. Supporting the Finance department in regard to providing documentation to satisfy auditor requests and general compliance.

• Liaising with other legal professionals and support associates within Red Planet Hotels. to coordinate and ensure consistency of support to all departments in all jurisdictions.

Requirements: 

• Qualified legal practitioner.
• Candidate must possess at least a Bachelor's/College Degree, Post Graduate Diploma / Master's Degree, in Law.
• At least 5 years’ experience with a well-regarded international law-firm or as in-house counsel with a respectable international company; Good commercial contract drafting skills and an ability to deal with commercial and property transactions in the markets in which Red Planet Hotels operates or plans to operate;
• Strong interpersonal and communication skills;
• Fluent in written and spoken English and Filipino. An equivalent fluency in an Asian language would be considered highly advantageous.
